Terms of service

1. Scope

These terms apply to all contracts between [Company name] (“SellReady”, “we”) and our customers regarding the use of the SellReady software.

SellReady is aimed exclusively at businesses within the meaning of § 1 KSchG and § 14 BGB. By registering, you confirm that you use SellReady for your commercial or self-employed activity. Deviating terms only apply if we agree to them in writing.

2. Description of services

SellReady is software that reads your shop data through the Etsy API and assesses your listings with a rule-based check for the destination countries Austria and Germany. This results in statuses, tasks and notices. You can also create profiles and store documents.

The scope of each plan follows from the pricing page at the time the contract is concluded. A demo shop with sample data is available for trying the product.

3. Rule-based check and limits of the service

• Results are automated assessments based on the current rule set (“ready based on the current rule set”). They rely on publicly available regulations, your details and the data supplied by Etsy.
• SellReady does not provide legal services or an assessment of your individual case. The rule set covers selected obligations; product groups outside this scope are marked “Not covered”.
• You remain responsible for the lawfulness of your products, offers and packaging. For the status “Manual review” we recommend expert support.
• Suggestions for classifying products – whether rule-based or AI-based – are non-binding and are only taken into account after you confirm them.

4. Conclusion of contract and account

The contract is concluded when registration is completed; paid plans when checkout is completed. Access credentials must be kept confidential. An account belongs to one business.

5. Etsy connection

To connect, you need an authorised Etsy account. SellReady only receives read permissions. Etsy, Inc. is an independent third party; we have no influence on the availability or scope of the Etsy API.

The term 'Etsy' is a trademark of Etsy, Inc. This Application uses Etsy's API, but is not endorsed or certified by Etsy.

6. Customer obligations

• Provide truthful details about your business and your products and keep them up to date.
• Only upload files for which you hold the necessary rights and which contain no unlawful content.
• Do not misuse SellReady, in particular no automated bulk requests and no attempts to access other customers’ data.

7. Prices and scope

The prices on the pricing page apply. All prices are net plus statutory VAT. The plan is determined by the number of physical listings in your shop – active, inactive, sold out and drafts; digital downloads do not count.

If your shop has more listings than your plan includes, all listings are shown, but only as many are checked as the plan includes – by default the most recently edited ones. You can change the selection at any time. This never results in automatic extra charges.

8. Payment and invoices

Fees are due in advance for the respective billing period and are collected via our payment provider Stripe. You receive invoices electronically. For businesses with a valid VAT ID from another EU member state, the reverse-charge procedure applies.

9. Term and cancellation

• Monthly plans renew for one month and yearly plans for one year unless cancelled beforehand.
• You can cancel yourself in your account at any time, effective at the end of the current billing period. Your account then continues on the free plan.
• You can end the free plan and your account at any time by deleting the account in your settings.
• We may terminate contracts with [30 days’] notice to the end of a billing period. The right to terminate for good cause remains unaffected.
• After the contract ends, you can export your data for [30 days]; afterwards we delete it as described in the privacy policy.

10. Availability

We aim for high availability of SellReady but do not owe any specific availability. We announce planned maintenance in advance where possible.

11. Liability

• We are liable without limitation for intent and gross negligence and for damage from injury to life, body or health.
• We are not liable for slight negligence to the extent permitted by law. [To be reviewed by counsel: essential obligations for customers from Germany]
• Unless liability is unlimited, it is capped at the fees paid in the twelve months before the damaging event.
• We are not liable for disadvantages arising from the customer’s products, offers or packaging not meeting legal requirements, nor for the content of and changes to the underlying regulations.

12. Privacy and data processing

Our privacy policy applies. For data we process on your behalf, we conclude a data processing agreement, which you accept in the application.

13. Changes to these terms

We notify you of changes by email at least [6 weeks] before they take effect. If you do not object before they take effect, the changes are deemed accepted; we point out this consequence in the notice. In case of an objection, either party may terminate the contract effective on that date.

14. Final provisions

Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is [the competent court at SellReady’s registered office]. Should any provision be invalid, the remainder of the contract remains effective.
